Assistant Manager Company Secretary
Job Description
To ensure compliance with Companies Laws, SEBI, ROC and all other agencies for Public Limited & Listed companies and their associated regulations. • Independently scheduling and conducting Board / Members meetings as per secretarial standards for listed and all group entities • Circulate notice and agendas for Board, General meetings and draft and final minutes to the Board within the defined timelines • Ensuring updated record keeping and minuting. Timely and accurate compliances and MCA returns filing. Remaining 100% compliant at all times. • Responsible for maintaining and updating the records such as statutory registers • Build connections and liase as necessary with regulatory authorities such as Stock Exchanges, MCA, RTA & Bankers • Responsible for facing Audits, completing Due Diligences and Corporate Actions on time as and when required • Ensure filing quarterly, half yearly and yearly compliance as per LODR well before time deadline. • Timely reply to the queries raised by regulators such as BSE, NSE, SEBI, ROC etc. • Prepare drafts forms, returns and applications to be filed with regulatory bodies • Tracking and implementing regulatory changes and update • Review board agenda and notices; liaison with the business heads to check what items need to be added to the agenda. • Ensure that all documentation is as per standard checklist. Oversee filing and indexing of all board related documents in a timely manner • Liaise with bankers for Dividend related activities • IEPF Compliances and filing various forms with ROC and sending reminders and letters to respective shareholders. • Drafting / reviewing agreements with various stakeholders - employees, directors, vendors, agents, shareholders - and keeping them current always • New company formation, actions from restructuring programs as delegated from time to time • Work directly / with trademark and legal consultants to ensure TM ownership and blocking "lookalikes" effectively Legal: • Review and provide legal advice on various Agreements/documents. • Review ongoing cases and advice management accordingly. • Provide legal protection and risk management advice to management especially on contract • Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff.
Education Qualifications
- CS/CS
Behavioural Profile
• CS (LLB shall be preferable) • Minimum 3 years’ experience in listed company / 7 years post qualification work experience • Able to work without any guidance • Result Oriented
